Article 1: Definitions
Company
MVP Fi Technology LLC registered under Egyptian Companies Law No. 17 of 2017.
Client
Any natural or legal person using the Company's services.
Services
All services provided by the Company including software development, technical consultations, and others.
Agreement
These Terms and Conditions and any attachments or appendices.
Article 2: Acceptance
By using our services or website, you agree to be bound by these Terms and Conditions.
If you do not agree, please do not use our services.
Article 3: Nature of Relationship
The relationship between the Company and the Client is that of independent contractor
and not employment, partnership, or agency.
Article 4: Services and Pricing
- Scope of services and pricing are determined in a written quotation signed by both parties.
- The Company reserves the right to modify prices with prior notice to existing clients.
- All prices are in Egyptian Pounds unless otherwise specified.
Article 5: Payment and Financial Terms
- Payment shall be made according to the agreed schedule in the contract.
- Late payments are subject to a 1.5% monthly penalty.
- All prices exclude Egyptian Value Added Tax VAT unless otherwise stated.
Article 6: Intellectual Property
The Company retains intellectual property rights to all tools, technologies,
and methodologies owned prior to project commencement.
Article 7: Confidentiality
Both parties agree not to disclose any confidential information of the other party
for 3 years from termination of this agreement.
Article 8: Warranties and Liability
- The Company warrants that services will be provided with acceptable professional standards.
- The Company is not liable for indirect or incidental damages.
- Maximum liability shall not exceed the total value of services provided under the contract.
Article 9: Contract Termination
Either party may terminate this agreement in case of:
- Breach of any terms by the other party.
- Bankruptcy of either party.
- Mutual written agreement to terminate.
Article 10: Force Majeure
Neither party is liable for failure to fulfill obligations due to circumstances beyond their control,
including natural disasters, wars, strikes, and government actions.
Article 11: Governing Law and Jurisdiction
- This agreement is governed by the laws of the Arab Republic of Egypt.
- Any dispute arising from this agreement shall be resolved through arbitration in Cairo according to Egyptian Arbitration Law.
Article 12: General Provisions
- This agreement represents the complete agreement between the parties.
- This agreement may not be assigned without written consent of the other party.
- If any provision is deemed unenforceable, remaining provisions remain valid.

All official notices under this agreement must be in writing and sent to:

The Company reserves the right to modify these Terms and Conditions at any time.
Clients will be notified of changes via email or website publication.
Continued use of the Company’s services after the publication or notification of changes
may be considered acceptance of the updated Terms and Conditions.
